SBAR Alerts Referral Representative Terms and Conditions

Acceptance of Terms

These Referral Representative Terms and Conditions (“Agreement”) govern participation in the SBAR Alerts Referral Program (“Program”). By registering as a referral representative (“Referral Representative,” “you,” or “your”), you agree to be bound by this Agreement.

1. Program Overview

SBAR Alerts (“Company,” “we,” “us,” or “our”) offers a referral program allowing approved Referral Representatives to earn commissions by referring qualified healthcare facilities (“Facilities”) that subscribe to SBAR Alerts using an assigned referral link or code.

Participation does not create an employment, partnership, joint venture, franchise, or agency relationship.

2. Eligibility

You must be at least 18 years old.
You must provide complete and accurate information.
You must comply with applicable federal and state laws.
Participation remains subject to SBAR Alerts approval.
SBAR Alerts may deny, suspend, or terminate participation.

3. Referral Qualification

A referral is qualified when:

The Facility registers using your referral link or code.
The Facility completes account setup and becomes active.
The Facility is not already an SBAR Alerts customer.
The referral is not self-generated, duplicated, or fraudulent.
SBAR Alerts confirms the referral as valid.

4. Commission Structure

Commission equals 20% of the referred Facility’s paid monthly subscription amount.
Commissions recur while the Facility remains an active, paying customer and the referral account remains in good standing.
Commissions are calculated after the applicable Facility invoice is paid.
SBAR Alerts may modify commission terms upon notice.

5. Payment Terms

Payments are generally processed monthly.
Minimum payment thresholds may apply.
Accurate payment and tax information is required.
You are responsible for all applicable taxes.
Payments may be delayed or withheld while suspected fraud, chargebacks, or policy violations are reviewed.

6. Prohibited Conduct

Referral Representatives may not:

Misrepresent SBAR Alerts, its pricing, or its services.
Use spam, deceptive marketing, or unlawful solicitations.
Make unauthorized guarantees or performance claims.
Self-refer or refer affiliated entities without approval.
Use SBAR Alerts trademarks or paid advertising without permission.
Engage in unlawful, unethical, or abusive conduct.

7. Branding and Marketing

Referral Representatives may use only approved SBAR Alerts marketing materials. All trademarks, logos, content, and intellectual property remain the exclusive property of SBAR Alerts.

8. Confidentiality

Confidential or proprietary information obtained through the Program must remain confidential and may be used only for authorized Program activities. Referral Representatives may not request, receive, or transmit protected health information through the Program.

9. Termination

SBAR Alerts may terminate this Agreement at any time, with or without cause. Upon termination:

Referral portal access may be revoked.
Future commissions may cease.
Unpaid commissions may be forfeited when fraud, misconduct, or a material policy violation occurred.

10. Disclaimer and Limitation of Liability

The Program is provided “as is.” SBAR Alerts does not guarantee earnings, referral approval, customer conversion, or uninterrupted access. To the maximum extent allowed by law, SBAR Alerts is not liable for indirect, incidental, special, or consequential damages arising from Program participation.

11. Indemnification

You agree to indemnify and hold harmless SBAR Alerts and its affiliates from claims, losses, and expenses arising from your marketing activities, Program participation, or breach of this Agreement.

12. Modifications

SBAR Alerts may revise these terms. Continued participation after notice of revised terms constitutes acceptance of the revised Agreement.

13. Governing Law

This Agreement is governed by the laws of the State of California, without regard to conflict-of-law principles.
